智冠公司聲明稿
智冠公司就部分媒體未察詳情之報導、評論，釐清如下：
一、 部分新聞報導稱莊獨立董事就股份交換案提出反對意見，甚而稱智冠公司拒絕獨立董事行使職權進行查閱云云，並非事實。莊獨立董事的反對意見刻意不提她在112年12月20日下午帶著2位外部律師到場，這2位外部律師對智冠公司本來就沒有保密義務，又拒絕簽署保密承諾，難道這種狀況下智冠公司應該提供尚未公開的秘密資訊嗎？況且後來還是莊獨董的外部律師帶著莊獨董離開。智冠公司本就沒有拒絕莊獨董查閱資料，尤其當日也準備好查閱的資料及會議室，等候獨董到達。智冠公司112年12月21日的重訊寫得非常清楚，但有心人士操作新聞仍舊迴避重訊已釐清的事實，非常不可取。
二、 這二日無論是網銀國際所發的聲明或其相關新聞或特定人士所發表的意見，竟然都刻意不提股份交換合作契約上白紙黑字寫明「股份交換的股權3年內不得買賣」的重要事實！3年內沒有流動性的股份，無從認定、預測或保證3年後的股價一定是現在的價格。何況現在的股價是今年11月底，短短數日內被拉抬上去，還導致在12月4日起被主管機關列為警示、處置股，可見該段股價上漲偏離大盤趨勢及公司營運基本面，確實不正常。現某些人用近期不正常上漲的股價來聲稱所謂53億元換32億元，顯然是要刻意誤導投資大眾。
三、 網銀國際發出的新聞或聲明，一再指稱榮剛是鋼鐵股，但這根本是誤導投資人、忽略真正的產業發展趨勢，見樹不見林！事實上台鋼集團的產業轉型早已擴及到網通事業(友訊科技、友勁科技)、運動（棒球台鋼雄鷹隊、籃球台鋼獵鷹隊、台鋼足球）、健身（UFC GYM）、休閒旅遊（燦星旅遊、亞果遊艇、陽明山天籟渡假酒店）、餐飲（潮港城餐宴會館）、生技（加捷生醫）各個不同層面，智冠集團旗下的藍新金流更早在幾年前就與台鋼集團旗下各公司已在合作，包括台鋼集團各公司持續茁壯成長所需要的會員服務、金流服務、媒體廣告服務等，這也都是智冠集團的強項。因此智冠集團選擇的產業轉型是更廣泛的線上線下整合，來連結更多的產業。所以智冠並沒有選擇所謂點數通路整合，因為智冠在點數市場已經是領先群，不能還只是停留在遊戲點數上；智冠亦無規劃進入博奕產業。
四、 智冠公司是智冠集團的核心事業，榮剛則作為台鋼集團的核心事業，這兩家公司股份交換，象徵兩個集團預計合作發展未來虛實整合的產業鏈，共同航向新藍海。
